SrutiAI End User Licence Agreement

This End User Licence Agreement ("EULA") is between you and Tanwir Adib Chowdhury, who makes SrutiAI ("SrutiAI", "we", "us"). It covers the SrutiAI desktop application for macOS and Windows and its updates (the "App"), and the AI model files we make available for use with it (the "Models"). It forms part of the Terms of Use, whose definitions apply here. By installing or using the App you accept this EULA.

1. Licence

1.1 Subject to this EULA, the Terms of Use and an active plan or trial, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on computers you own or control, one active at a time, for the features your plan includes.

1.2 The App is licensed, not sold. We and our licensors keep all rights not expressly granted to you.

1.3 When your plan ends, this licence narrows to opening the App in export-only mode, so that you can export what you made with it. That narrower licence continues for as long as you have the App installed.

2. What you may not do

2.1 You must not, and must not help anyone else to:

• (a) copy, sell, rent, lease, lend, sublicense, distribute or publish the App, except backup copies of your own installation;
• (b) reverse engineer, decompile or disassemble the App, except to the extent the law allows this despite this restriction (for example, to achieve interoperability where the law gives that right);
• (c) bypass, disable or interfere with the licence check, quota, device limit, integrity check or any other technical protection, including by editing the App's secure store or saved licence records, altering the computer's clock to stretch an allowance, replaying licence responses, running a stand-in for the licence service, or loading modified libraries into the App;
• (d) modify the App, or create derivative works of it, except as an open-source licence allows for a component under it (section 4);
• (e) remove, obscure or alter any copyright, licence, attribution or notice in the App or the Models; or
• (f) use the App to build, train or benchmark a competing product for publication without our written permission.

3. The Models

3.1 The App does not include its AI models; it downloads them on first run, from SrutiAI's model server or from Hugging Face. Each Model file is checked against a fixed fingerprint before it is installed.

3.2 The Models are not ours. Each is provided under its own licence, which is shown on the App's licences page and stored beside the file on our model server:

3.3 Gemma notice. Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms. Your use of EmbeddingGemma, and of SrutiAI, is subject to the use restrictions in section 3.2 of those terms, including the Gemma Prohibited Use Policy (ai.google.dev/gemma/prohibited_use_policy). Breaching them is a breach of this EULA. A copy of the Gemma Terms of Use accompanies the Model.

3.4 Nothing in this EULA limits the rights a Model's own licence gives you in that Model file. Nothing in a Model's licence gives you rights in the App.

3.5 We did not modify the Model files. We may replace a Model with another in an update; the licences page always lists the Models in use.

4. Open-source components

4.1 The App includes open-source software, including whisper.cpp, llama.cpp, ONNX Runtime and sherpa-onnx (MIT), and fonts under the SIL Open Font License. They are listed, with their licences, on the App's licences page. Where an open-source licence gives you rights in a component that this EULA would otherwise restrict, that licence prevails for that component.

5. Updates and integrity

5.1 Updates arrive through the Microsoft Store on Windows and, on macOS, as a new version you download from srutiai.com. Some updates may be required to keep using the Service, for example to keep licence checks working.

5.2 A release build checks at launch that it is the genuine App. If the check fails, the App opens in export-only mode and makes no licence request.

6. Data

6.1 The App processes your recordings and other content on your computer, and we do not receive them. What the App does send, and when, is set out in the Privacy Policy and on the App's Privacy & data screen, which also keeps a log of every request it made. Usage statistics and crash reports are sent only if you switch them on, and you can switch them off at any time.

7. Microsoft Store

7.1 If you obtained the App from the Microsoft Store:

• (a) this EULA is between you and us, not Microsoft, and governs your use of the App in place of Microsoft's Standard Application License Terms;
• (b) Microsoft has no obligation to maintain or support the App; and
• (c) the Store's own terms govern the download and the Store account you used.

8. Warranty, liability and termination

8.1 The disclaimers, limits of liability and consumer protections in sections 16 and 17 of the Terms of Use apply to the App and the Models.

8.2 This EULA ends automatically if you breach section 2 or 3.3, or when your agreement under the Terms of Use ends; section 1.3 still lets you export your work.

8.3 On termination you must stop using the App except as section 1.3 allows. Sections 2, 3.3, 8 and 9 survive.

9. Export controls

9.1 The App is subject to the export control and sanctions laws of Canada and other countries. You must not export, re-export or use it in breach of them.
